Terms of Service

1. Agreement to Terms

By accessing or using the Groundbreak platform (“Service”), operated by Groundbreak LLC (“Groundbreak,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. Description of Service

Groundbreak provides a construction intelligence platform with three products: Groundbreak Pro (for investors), Groundbreak GC (for general contractors), and Groundbreak Crew (for trades and subcontractors). The Service includes deal analysis, budget building, project management, estimating, invoicing, and related tools.

3. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorized use.

4. Subscriptions and Payments

Paid features are billed through Stripe on a monthly or annual basis. Prices are listed on our pricing page. You may cancel at any time; cancellation takes effect at the end of the current billing period. Refunds are provided at our sole discretion.

Beta pricing is locked in for the life of your subscription as long as it remains active. We reserve the right to change pricing for new subscribers at any time with 30 days' notice.

5. Acceptable Use

You agree not to: (a) violate any applicable law or regulation; (b) infringe on the rights of others; (c) upload malicious code or interfere with the Service; (d) use the Service for any fraudulent purpose; (e) attempt to gain unauthorized access to any part of the Service; or (f) scrape, crawl, or data-mine the Service without written permission.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Groundbreak LLC and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of data you upload but grant us a license to use it to provide the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We may use anonymized, aggregated data from the platform to improve our regional cost intelligence and market data features.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind. Groundbreak does not guarantee the accuracy of cost estimates, budget projections, or any AI-generated analysis. You are solely responsible for all investment, construction, and business decisions made using the Service.

9. Limitation of Liability

To the maximum extent permitted by law, Groundbreak LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

We may terminate or suspend your account at any time for violation of these Terms. Upon termination, your right to use the Service ceases immediately. You may export your data within 30 days of termination by contacting support.

11. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Maricopa County, Arizona.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
